General

· Publisher (or Publishers): the natural or legal person(s) who promotes the product or service of Travelex on the basis of an Marketing Channel. The Publisher is an independent entrepreneur or individual.

· Marketing Channel: the online marketing method used by a Publisher to promote a Travelex N.V.’s campaign - or on one of its group company’s (hereafter (both individually as together) referred to as: “Travelex”). Examples of an Marketing Channel are: websites, banners, e-mails, expressions through keyword marketing or social media.

· Applying to become a Publisher means that the Publisher accepts these general terms and conditions and observes them.

· These general terms and conditions replace any previous written and spoken agreements between Travelex and Publisher.



Publisher guidelines

· You (the “Publisher”) are not permitted to bid on Travelex branded terms on search engines such as Google and any other paid-for listings partners. This includes the Travelex brand name and any brand name misspellings. We will ask you to put the brand terms in broad negative match.

· Publisher acknowledges not to bid on the following without written consent of Travelex: “Travel Money” and “Foreign Exchange”.

· Travelex does not encourage Publishers to bid on any of our competitor’s brand terms.

· Using and or stating Travelex its brand names on any advertising is not allowed.

· If publishers use Travelex’s brand name in their display URL, they will not receive commission.

· If publishers directly link to any Travelex website or websites from search engines they will not receive commission.



Commission guidelines

The transaction value on which commission is paid by Travelex does not include:

· VAT / sales and any other taxes;

· Delivery charges;

· Credit card fees.



Travelex does not pay commission on the following:

· Travelex Money Card currency reloads;

· Cancelled orders;

· Invalid orders;

· Customer credit card failure;

· Breach of any terms of the programme and/or these terms and conditions;

· Duplicate orders.



Notice period is 7 days to notify you about:

· Changes in commission rates;

· Updates on our products.



Affiliate types that we do not accept to our programme include the following:

· Behaviour retargeting affiliates;

· Email affiliates;

· Media brokers.



Creative assets guidelines

· Publishers are responsible for ensuring all details for Travelex products are correct at all times. Creatives used must only be creatives featured via the Performance Horizon platform.

· Publishers may not alter any of the creative or text links available through the Performance Horizon platform in order to prevent out of date content, affiliates may not hardcode the creative into their sites.

· All material that has not been provided by Travelex needs to be signed off in writing by Travelex, this apply to all promoted products (Cash, Travelex Money Card, Travelex Wire - International Money Transfer).



Data Protection and Privacy

· “Data Protection Law” means all laws and regulations (as amended, replaced or re-enacted from time to time), including laws and regulations of the European Union, the European Economic Area, their member states and the United Kingdom, applicable to the processing of personal data and privacy, including (where applicable): (i) Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (known as the General Data Protection Regulation (“GDPR”)); (ii) the Electronic Communications Data Protection Directive (2002/58/EC) as amended by the Electronic Communications Directive 2009/136/EC ; and (iii) any corresponding or equivalent national laws or regulations including without limitation, the Data Protection Act 2018 and the Privacy and Electronic Communications (EC Directive) Regulations 2003 (SI 2426/2003).

· Publisher acknowledges and understands that Performance Horizon (“PH”) uses tracking code and/or cookies for the purposes of tracking the performance of advertiser campaigns and attributing transactions (or “Events”) to its Partners (the “Purpose”) and that this includes the use of cookies which track users of your website (“Users”) who click on the Travelex creative which you host.

· Without limitation to your obligations under Clause 7 (Data Protection) of the Terms and Conditions of your Partner Agreement with PH, you shall ensure, as a condition of your use of Travelex creative, that you give Users all such information and obtain all such User consents as are required to comply with Data Protection Law via your privacy policies, cookie notices and consents.

· To the extent that in connection with the Purpose:

o you transfer information which may be deemed, directly or indirectly, capable of identifying a living individual (and, accordingly, be deemed “personal data”) you acknowledge and agree that you do so strictly in accordance with Data Protection Law and as independent controller; or

o you have access to information, via your use of the PH platform, relating to or derived from Travelex, it shall be treated by you in the strictest confidence and to the extent such information (eg, regarding clicks and conversions) relates to or derives from Users, you acknowledge that it is solely intended to be made available on the PH platform in pseudonymised or anonymised form; in the event that you are able to identify any individual you must report it to PH and Travelex immediately and follow Travelex’s reasonable instructions.



Liability

· The Publisher shall be fully responsible and liable for the development, maintenance and performance of his/her Marketing Channel and/or e-mail or keyword marketing activities, as well as its content. The Publisher shall be liable for any damage suffered by Travelex as a consequence of any shortcomings on the part of the Publisher, except where there is no intent or serious misconduct on the part of the Publisher or his subordinate manager(s).

· Travelex shall not be liable, under any circumstances, for direct or indirect damage suffered and/or costs incurred by the Publisher in connection with participation in the affiliate program, except in the case of intent or serious misconduct on the part of Travelex or its subordinate manager(s).

· The Publisher hereby undertakes to meet all obligations imposed by fiscal legislation and indemnifies Travelex against all claims on that subject.

· Any attempt to manipulate Travelex its network in any way whatsoever will automatically lead to immediate blocking of the Publisher. All claims to any accrued credit balances will thereby become invalid. Any damage suffered will be recovered from the Publisher.

· Travelex cannot be compelled to comply with its obligations resulting from the agreement with the Publisher, if and as far as such compliance is hindered by external factors, such as a fault in Travelex its network (whether or not caused by external influences, human error, Act of God, etc.) or an interruption of operations.



Confidentiality

Prior to, during and following the termination of the agreement with Travelex, the Publisher shall refrain from making any statement to any third party or from providing any such third party with information relating to the methods and techniques used and the data provided by Travelex, all to be interpreted in the broadest sense of the word.

Disclaimer

Travelex retains the right to:

· Remove Publishers breaching these general terms and conditions.

· Remove or reject websites that are not in line with our editorial guidelines and business strategy.



Miscellaneous

· The Publisher shall not be entitled to transfer (part of) its rights to a third party through collaboration without written approval from Travelex.

· Travelex shall be entitled to amend general these terms and conditions at any time. The Publisher will be informed of such action by electronic means. The Publisher shall be entitled to end the collaboration in the event that the amended terms and conditions are not acceptable to the Publisher. If the Publisher does not initiate the ending of the collaboration within 14 days, the Publisher shall be deemed to have accepted the amended terms and conditions.

· If any stipulation of these terms and conditions are in conflict with the applicable law, then this stipulation shall be amended so that it is brought into compliance with the applicable law, taking account of the scope of the relevant stipulation.

· The Publisher expressly states that it/he/she is aware of the legislation in the country where the promotion takes place regarding the distribution of advertising relating to the Publisher's services and/or products. The Publisher indemnifies Travelex against any legal claims which could be related to the distribution of the Publisher's advertising messages.

· By registering and/or applying to become a Publisher, a Publisher automatically agrees to the latest version of the general terms and conditions relating to participation in the Travelex network.

· No company existing as a legal entity shall be formed as a result of this agreement. These general terms and conditions do not regulate any labour relationship, trading agency relationship, representative relationship or appointment relationship and, therefore, do not authorise any of the parties to issue any legal declarations on behalf of one or more of the relevant parties, or to oblige any party to act in any way whatsoever or to represent them.

· The nullity of one or more of the stipulations of these general terms & conditions will not affect the validity of the remaining stipulations.



Governing law and jurisdiction

· These general terms and conditions are subject exclusively to Dutch law.

· In case of any dispute about any agreement or entailing agreement(s) between Travelex and Publisher (including these general terms and conditions), the court of Amsterdam (The Netherlands) will have exclusive jurisdiction.
